চুক্তি করার নিয়মাবলী
ব্যবসা, লেনদেন/অঙ্গীকার যেকোনো বিষয়ে চুক্তি করার দরকার পড়তে পারে। বাড়ি কিংবা ফ্ল্যাট কেনা-বেচার সময়ও চুক্তি করার দরকার হতে পারে। আর্থিক প্রতিষ্ঠানের লেনদেনের সময়, ঋণের জন্য চুক্তিপত্র দরকার হয়। ব্যক্তিগত অনেক কাজে চুক্তিনামা প্রয়োজন হয়। চুক্তি যেকোনোভাবে করলেই হবে না, কিছু নীতিমালা মেনে চুক্তি সম্পাদন করতে হয়।
চুক্তিনামায় যেসব ব্যাপারে উল্লেখ থাকতে হবে:
১| পক্ষগণের সুস্পষ্ট নাম ও ঠিকানা, ব্যবসাপ্রতিষ্ঠান হলে এর ঠিকানা থাকতে হবে।
২| চুক্তির তারিখ।
৩| চুক্তির বিষয়
৪| চুক্তিতে কার মালিকানা বা ভূমিকা কতটুকু, চুক্তি কার্যাদির তারিখ।
৫| ব্যবসাসংক্রান্ত চুক্তির ক্ষেত্রে পুঁজির পরিমাণ এবং লভ্যাংশ ব্যবস্থাপনা, ব্যবসার ব্যবস্থাপনা প্রভৃতি বিষয় উল্লেখ থাকতে হবে।
৬| বিরোধ দেখা দিলে তার নিষ্পত্তির পদ্ধতি, শর্ত ও নীতিমালার উল্লেখ থাকতে হবে। আলোচনা বা সালিসের মাধ্যমে তা নিষ্পত্তি করার সুযোগ থাকবে কি না, তারও উল্লেখ থাকা আবশ্যক। সেক্ষেত্রে শর্তগুলো সুস্পষ্টভাবে উল্লেখ করে রাখতে হবে। সালিস আইন ২০০১ এ ব্যাপার সংক্রান্ত একটি সহায়ক আইন।
৭| চুক্তিপত্রের শেষের অংশে পক্ষগণের এবং সাক্ষীসমূহের সই আবশ্যক।
৮| নাবালক, পাগল, দেউলিয়া ব্যক্তি, সরকারি কর্মচারী, রাষ্ট্রপতি, মন্ত্রী, বিদেশি রাষ্ট্রদূত, বিদেশি শত্রু ও দেশদ্রোহী ব্যক্তির সঙ্গে চুক্তি করার কোনো আইনগত ভিত্তি নেই।
৯| চুক্তিতে কোনো অপূর্ণতা যেন না থাকে। পক্ষসমূহের দায়দায়িত্ব সুস্পষ্টভাবে উল্লেখ থাকতে হবে।
১০| কোনো প্রকার ফাকফোকর/জটিলতা রাখা যাবে না।
চুক্তি সম্পাদনের পদ্ধতি:
চুক্তিপত্র করতে হবে ৩০০ টাকার নন-জুডিশিয়াল স্ট্যাম্পে, তবে এর ব্যতিক্রমও হতে পারে। অংশীদারি ব্যবসায়িক চুক্তিপত্র করতে হয় ২ হাজার টাকার নন-জুডিশিয়াল স্ট্যাম্পে, মূলধন ৫০ হাজার টাকার কম হলে ১ হাজার টাকার স্ট্যাম্পে চুক্তি করা যাবে। সাধারণ চুক্তিপত্র নোটারি পাবলিক অথবা প্রথম শ্রেণির ম্যাজিস্ট্রেট দিয়ে নোটারাইজড করে নিতে হবে, অংশীদারি চুক্তি রেজিস্ট্রার অব জয়েন্ট স্টক কোম্পানিজ থেকে নিবন্ধন করতে হয়। জমি বা ফ্ল্যাট কিনতেও বায়নামা চুক্তি করার প্রয়োজন হতে পারে, যা সাব-রেজিস্ট্রি অফিস থেকে রেজিস্ট্রেশন করা বাধ্যতামূলক।
